Co-partner

Each block is $500K of EBITDA. Minimums shown.

Typical partner: a B2C business selling a big-ticket product or service, $1M–$5M EBITDA, documented processes, and books you would put in front of a lender.

Not a fit: turnarounds, businesses below $500K EBITDA, and owners seeking a complete exit without a successor.

Initial partners receive terms unavailable later: the largest equity positions, the regional leadership role, and input into platform design.

FAQ

Are you private equity?

We are a portfolio investment company: platform capital for B2C businesses that sell big-ticket items. The difference from most private equity is who underwrites you: people who operate the companies in our portfolio.

How is my price set?

Verified EBITDA multiplied by your tier's multiple (2–3×, 4×, or 5×), agreed before diligence begins. Diligence verifies the numbers; it does not renegotiate them. If you grow into a higher tier during the earnout window, the difference is paid as additional earnout.

What is the rolled equity, and how is it valued?

Ownership in the platform, valued at platform value on your date of entry. Partners admitted later enter at a higher valuation. The comparable-category multiples on this page are benchmarks, not projections.

How is the earnout measured?

Typically over two years, against agreed targets for your market. The targets are set in the letter of intent.

What happens to company debt and my personal guarantees?

They are addressed at close, typically retired from proceeds. The specifics are part of every letter of intent.

Do I stay in charge of my company?

Yes. Partners typically stay on as salaried presidents, with authority over day-to-day operations. The platform takes the back office. If retirement is the goal, a capable second-in-command already running daily operations is a prerequisite.

Does my company keep its brand?

If your market knows and trusts your name, it can stay. If you never built one, you can operate under one of our established brands.

When is my team told?

When you decide. Every conversation is confidential from the first call, and nothing reaches your team until you choose to tell them.

I'm two years away from doing anything. Should I still call?

Yes. Entry valuation rises as the platform grows, and the best conversations start well before a transaction. It costs nothing.
